Johnson Controls has finalised the sale of its Residential & Light Commercial HVAC unit to Bosch for US$8.1 billion. The move accelerates the company’s shift toward commercial-building systems and digital services.
Johnson Controls International has officially completed the sale of its Residential & Light Commercial (R&LC) HVAC business to Robert Bosch GmbH, in a transaction valued at US$8.1 billion. The company will receive approximately $6.7 billion in cash, with net proceeds of about $5 billion after taxes and transaction-related costs.
The divestiture includes Johnson Controls’ North American ducted HVAC operations as well as its stake in a global joint venture with Hitachi in the residential HVAC segment. It marks a significant turning point in Johnson Controls’ strategy to become a pure-play provider of commercial building systems and digital technologies.
The company will now sharpen its focus on commercial HVAC, building automation, and innovative technologies under its OpenBlue platform. This new strategic direction reflects growing market demand for intelligent, integrated, and energy-efficient systems across large-scale infrastructure, including airports, hospitals, and data centres.
As part of the deal, Johnson Controls will also launch a $5 billion accelerated share repurchase program, which the proceeds of the transaction will fund. The repurchase forms part of the company’s broader $9.8 billion capital return strategy, reflecting strong investor confidence in its redefined business model.
